Key Responsibilities:
1. Corporate Governance & Compliance:
o Ensure compliance with the Companies Act, 2013, and other applicable laws and regulations.
o Assist in the formulation and implementation of corporate governance policies.

o Liaise with Board members and provide administrative support.
3. Regulatory Liaison:
o File necessary statutory documents and reports with government authorities, including the Registrar of Companies (RoC).
o Ensure compliance with tax filings and other statutory obligations.
o Maintain communication with regulatory bodies and respond to their queries.
4. Legal Documentation & Contracts:
o Review, draft, and manage contracts, agreements, and other legal documents.
o Oversee legal proceedings and represent the Company in legal matters when required.o Ensure that all legal documents are filed, organized, and accessible for audit purposes. 5. Risk Management & Advisory:
o Advise on risk management strategies, corporate structure, and related legal matters.
o Ensure the Company complies with data protection regulations and other applicable laws.
o Advise on potential legal issues or conflicts affecting AVCF operations.
6. Records and Filings:
o Maintain statutory books, including registers of members, and Directors.
o Keep a record of the Company's Articles of Association, Memorandum of Association, and other documents. Qualifications:
• Education:
o A Qualified Company Secretary with a valid membership in the Institute of Company Secretaries of India (ICSI).
o A degree in law is desirable.
• Experience:
o Minimum of 12-15 years of experience as Company Secretary in a reputed
organization, preferably in the non-profit sector.
o Strong understanding of corporate governance and compliance regulations, particularly related to Section 8 companies. • Skills:
o Excellent communication and interpersonal skills, with the ability to liaise with avariety of stakeholders.
o Strong organizational and time-management skills, with attention to detail.
o Ability to handle confidential and sensitive information with discretion.
o Knowledge of legal documentation, filing systems, and regulatory requirements.
